Welcome to SupplierKit. These Terms of Service ("Terms") govern your access to and use of the website, services, and applications offered by SupplierKit LLC ("SupplierKit," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using SupplierKit, you agree to these Terms and our Privacy Policy. If you are using the services on behalf of an organization, you agree to these Terms for that organization and represent that you have the authority to bind that organization to these Terms.

2. Description of Service

SupplierKit provides a supplier tracking compliance management tool. We reserve the right to modify, suspend, or discontinue any part of the service at any time.

3. Eligibility and Account Security

• Age. You must be at least 18 years old to use this service.
• Account Responsibility. You are responsible for maintaining the confidentiality of your account credentials. You are fully responsible for all activities that occur under your account.
• Accuracy. You agree to provide accurate and complete information when creating your account.

4. User Conduct and Prohibited Activities

You agree not to:

• Use the service for any illegal purpose or in violation of local, state, or international laws.
• Reverse engineer, decompile, or attempt to extract the source code of the platform.
• Interfere with the security or performance of the AWS infrastructure hosting the service.
• Upload malicious code, viruses, or any content that infringes on third-party intellectual property.

5. Intellectual Property

• Our Content. SupplierKit owns all rights, titles, and interests in the platform, including logos, UI design, and proprietary code.
• Your Content. You retain ownership of any data or content you upload to SupplierKit. By using the service, you grant us a worldwide, non-exclusive license to host and process your data solely to provide the services to you.

6. Data Residency and Hosting

As outlined in our Privacy Policy, your data is primarily stored and processed on servers located in the AWS Europe (Frankfurt) Region (eu-central-1). While the physical data remains in the EU, SupplierKit LLC (a Colorado entity) manages the platform.

7. Fees and Payment

• Billing. You agree to pay the fees associated with your chosen subscription plan.
• Refunds. All fees are non-refundable except as required by law.
• Taxes. You are responsible for any applicable taxes associated with your use of the service.

8. Termination

We may terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the service will cease immediately.

9. Limitation of Liability

To the maximum extent permitted by law, SupplierKit LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

10. Disclaimer of Warranties

Your use of SupplierKit is at your sole risk. The service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions. Any legal action shall be brought in the courts located in Denver, Colorado.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes by posting a notice on our website or via email. Your continued use of the service after such changes constitutes your acceptance of the new Terms.
